Terms of service.

These terms govern your use of the Chiropractic Grit platform ("Grit"), including scheduling, SOAP notes, patient portal, secure messaging, and SMS notifications. Please read them carefully.

1. Acceptance of terms

By creating an account or using any part of the Grit platform, you ("Provider," "Staff," or "User") agree to be bound by these Terms of Service and our SMS Terms & Privacy Policy. If you are using Grit on behalf of a practice or organization, you represent that you have the authority to bind that entity to these terms.

If you do not agree to these terms, do not create an account or use the platform.

2. Description of service

Chiropractic Grit is a cloud-based practice management platform designed for solo chiropractors and independent chiropractic practices. The platform includes:

  • Patient scheduling and appointment management
  • SOAP notes and clinical documentation
  • Secure provider-to-patient messaging (in-app)
  • SMS notifications from Chiropractic Grit about your account (waitlist, onboarding, billing, platform updates)
  • Patient portal for self-service access
  • Billing and balance tracking
  • Provider schedule and time-off management

Grit is not an emergency communication system. Do not use it to send urgent or time-sensitive medical communications. Always direct patients to call 911 or go to the nearest emergency room in the event of a medical emergency.

3. Account registration

To access Grit, you must register with accurate information including your legal name, practice name, and a valid business email. You are responsible for:

  • Maintaining the confidentiality of your login credentials
  • All activity that occurs under your account
  • Promptly notifying Grit of any unauthorized access at support@chiropracticgrit.com
  • Ensuring that all staff users added to your practice account comply with these terms

You may not share login credentials between users. Each provider and staff member must have their own account.

4. HIPAA compliance & business associate agreement

Grit is designed to operate in a HIPAA-compliant manner. As a covered entity or business associate under HIPAA, you acknowledge:

  • Grit acts as a Business Associate when handling Protected Health Information (PHI) on your behalf
  • A Business Associate Agreement (BAA) is included with all Grit Pro subscriptions
  • You are responsible for ensuring your use of Grit complies with all applicable federal and state healthcare privacy laws
  • You must not transmit unsecured PHI through channels not designed for it (e.g., SMS messages must not contain diagnoses, test results, or clinical details)

The BAA is incorporated by reference into these terms. If you require a countersigned copy, contact support@chiropracticgrit.com.

5. Acceptable use

You agree to use Grit only for lawful purposes and in accordance with these terms. You may not:

  • Use the platform to store or transmit content that violates any applicable law or regulation
  • Attempt to gain unauthorized access to any part of the platform or other users' accounts
  • Reverse engineer, decompile, or disassemble any part of the software
  • Use automated scripts, bots, or scrapers to access the platform
  • Send unsolicited or spam communications to patients through any Grit messaging channel
  • Use the platform for any purpose other than managing your chiropractic practice
  • Resell or sublicense access to the platform to third parties

Violation of acceptable use terms may result in immediate account suspension without refund.

6. Payment & billing

Grit Pro is billed at $99/month per practice. Billing terms:

  • Subscriptions are billed monthly in advance
  • Payment is due at the start of each billing cycle
  • Accepted payment methods include major credit and debit cards
  • Failed payments may result in a grace period followed by account suspension
  • All fees are in USD and are non-refundable except as required by law
  • Grit reserves the right to change pricing with 30 days' written notice

Add-on services (such as additional SMS phone numbers) may be billed separately as usage-based charges.

7. Cancellation & termination

You may cancel your subscription at any time from your account settings or by contacting support@chiropracticgrit.com.

  • Cancellation takes effect at the end of the current billing period
  • You retain access to the platform until the period ends
  • No refunds are issued for partial billing periods
  • After cancellation, you have 30 days to export your data before it is permanently deleted

Grit may terminate your account without notice for:

  • Violation of these terms or applicable law
  • Non-payment after the grace period
  • Use that creates legal, regulatory, or reputational risk to Grit or its users

8. Data ownership & portability

You own your data. Grit does not sell, rent, or share your practice data or patient information with third parties for marketing purposes. Grit may access your data only to:

  • Provide and improve the platform
  • Comply with legal obligations
  • Investigate abuse or security incidents

You may export your data at any time from the platform. Data exports include patient records, appointment history, clinical notes, and billing information in standard formats.

9. SMS communications

Chiropractic Grit may send SMS messages to you (the practice account holder or staff user) for purposes related to your Grit account. By providing your mobile number and opting in via the waitlist form, account onboarding, or in-app preferences, you consent to receive SMS messages from us, including:

  • Waitlist updates and early-access invitations
  • Onboarding and account-setup instructions
  • Trial-status, billing, and subscription notifications
  • Platform status notices (campaign registration updates, downtime, etc.)
  • Two-factor authentication (2FA) codes for account logins, when 2FA is enabled

Message frequency varies, typically up to four messages per month per recipient. Standard message and data rates may apply. Reply STOP to any message to opt out, or HELP for help. We will not sell or share your mobile number with third parties for marketing purposes. See our SMS Terms & Privacy for full details.

Practice-to-patient SMS messaging (appointment reminders, two-way patient texting) is a planned feature. When that capability ships, each practice will register its own SMS sender with the carriers, and additional terms governing patient consent, HIPAA-compatible content rules, and TCPA obligations will be presented to the practice at that time.

10. Intellectual property

Grit and its underlying software, design, trademarks, and content are the intellectual property of Chiropractic Grit and are protected by applicable law. These terms do not grant you any ownership interest in the platform.

You retain all rights to your data, clinical content, and patient records. By using Grit, you grant us a limited, non-exclusive license to store and process your data solely to provide the services described in these terms.

11. Disclaimer of warranties

The Grit platform is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

Grit does not warrant that the platform will be error-free, uninterrupted, or free from security vulnerabilities. Healthcare decisions must not be made solely based on information processed through the platform.

12. Limitation of liability

To the maximum extent permitted by applicable law, Chiropractic Grit's total liability for any claim arising from or related to these terms or the platform shall not exceed the greater of (a) the total fees paid by you in the three months preceding the claim, or (b) $100.

In no event shall Grit be liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, data loss, or business interruption, even if advised of the possibility of such damages.

13. Indemnification

You agree to indemnify and hold harmless Chiropractic Grit, its officers, employees, and agents from any claims, damages, or expenses (including reasonable attorneys' fees) arising from:

  • Your use of the platform in violation of these terms
  • Your violation of any applicable law or regulation (including HIPAA and TCPA)
  • Any claim by a patient related to your practice's communications or clinical decisions
  • Any content you submit, transmit, or store through the platform

14. Governing law & disputes

These terms are governed by the laws of the State of Delaware, without regard to its conflict of law provisions. Any dispute arising from these terms shall be resolved by binding arbitration administered under the rules of the American Arbitration Association, except that either party may seek injunctive relief in a court of competent jurisdiction for intellectual property or confidentiality violations.

You waive the right to participate in class action lawsuits or class-wide arbitration.

15. Changes to these terms

We may update these terms from time to time. When we do, we will update the "Last updated" date at the top of this page and notify active subscribers via email at least 14 days before material changes take effect. Continued use of the platform after the effective date constitutes acceptance of the revised terms.

If you disagree with a material change, you may cancel your subscription before the change takes effect and receive a prorated refund for any prepaid unused period.
